Artificial Intelligence Addendum
This Artificial Intelligence Addendum (“Addendum”) shall apply to Customer’s use of any AI Services (defined below) made available by LPS Holdco LLC (“Marq”) through its Services. These terms and conditions are made a part of and incorporated into the applicable master agreement entered into between Customer and Marq (the “Agreement”).
1. Definitions.
1.1. “AI Features” means any functionality or feature within the Services that utilizes artificial intelligence, machine learning, or large language models.
1.2. “Input” means any data, content, information, or material (i.e. prompts, including instructions, cached content, and files such as images, videos or documents) provided or submitted by Customer (including its users) to the Services for processing or analysis by AI Features, whether through uploads, API calls, or other means.
1.3. “Output” means any data, content, information, or material generated, returned, or produced by the AI Features in response to the Input.
1.4. “Model Training” means the process of training, tuning, or otherwise improving machine learning or AI models using data, including Input and Output.
2. AI Features.
The Services may incorporate AI Features. AI Features are automatically enabled when Customer obtains access to the Services. Some AI Features may be disabled by account administrators.
3. Input.
Customer, including its users, may provide Input to the AI Features. Customer is responsible for its users’ Input, including ensuring that it does not violate third-party intellectual property rights or applicable laws, and for their responsible use of the AI Features.
4. Output.
Due to the nature of the AI Features, and artificial intelligence generally, any Output may not be unique, and other customers may receive similar Output from the applicable AI Features. Similarly, the Output may not be accurate, complete, or fit for any particular purpose, and Customer is responsible for performing its own due diligence before relying on the Output for any specific use case. Output may include incomplete, incorrect, or offensive material that does not
represent Marq’s views.
5. Use and Restrictions.
Customer shall ensure that it has all necessary rights, consents, and permissions to provide Input and to use Output generated by the AI Features. Customer will use the AI Features in accordance with applicable laws and regulations.
6. Model Training.
Marq may use Customer Data to train, develop, or improve local instances of the AI Features, including the AI models therein. Marq will not use Customer Data to train, develop, or improve third party LLMs outside of Marq.
7. Ownership.
7.1. Input. As between Customer and Marq, to the extent permitted by applicable law, Customer retains all right, title, and interest in and to Input, subject to the limited rights granted herein to Marq for the purpose of providing the Services.
7.2. Output. Except as otherwise set forth in this Addendum, to the extent permitted by applicable law and subject to any third-party model provider terms (i.e. OpenAI or Anthropic), as between Customer and Marq, Output generated by the AI Services will be owned by Customer, provided that such Output does not infringe upon the intellectual property rights of Marq or any third party. Customer grants Marq a non-exclusive, worldwide, royalty-free, perpetual license to use, process, transmit, store, and display Input and Output solely as necessary to provide and improve the Services, comply with applicable law, or as otherwise agreed in writing.
7.3. AI Features. Marq, or its third-party licensors, retain all right, title, and interest in and to the AI Features and all related LLM models, software, algorithms, and technologies, including all improvements and derivative works thereof, except for Input and Output, to the extent expressly stated herein.
8. Acknowledgements.
The Parties acknowledge that the legal framework applicable to artificial intelligence is still evolving and Marq may remove, modify, or limit AI Features if it reasonably believes it is necessary to comply with changes in applicable laws or a third-party provider of the AI Features removes or limits Marq’s ability to provide such features.
